Welcome to Wingnit (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the website https://getwingnit.xyz and all services provided by Wingnit.

By accessing or using our website or engaging our services, you agree to be bound by these Terms.

1. Services

Wingnit provides creative services including branding, design, web development, video production, photography, 3D/Unreal Engine development, creative consulting, and more. All services are subject to a separate Project Agreement.

2. Acceptance of Terms

By using our website or entering into a Project Agreement, you confirm that you have read, understood, and agree to these Terms.

3. Intellectual Property

You retain ownership of materials you provide to us.
We retain ownership of our work until full payment is received.
Upon final payment, we grant you a perpetual, non-exclusive license to use the deliverables for their intended purpose.
We reserve the right to display completed projects in our portfolio unless otherwise agreed in writing.

4. Payments and Pricing

Deposits are typically 50% to begin work.
Final payment is due upon project completion and before delivery of final files.
Late payments may incur interest.

5. Revisions, Scope Changes & Client Responsibilities

Revisions are limited to the number specified in the Project Agreement.
Additional work will be quoted separately.
You agree to provide timely feedback and necessary assets.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement.

7. Data Protection & GDPR Compliance

For users in the European Economic Area (EEA) and United Kingdom:

We process your personal data in accordance with the General Data Protection Regulation (GDPR).

Legal Basis for Processing: We process your data based on contract performance, legitimate interest, legal obligation, or your consent.
Your GDPR Rights: You have the right to access, rectify, erase, restrict processing, object to processing, and data portability regarding your personal data.
Data Transfers: Any data transferred outside the EEA is protected by appropriate safeguards (e.g., Standard Contractual Clauses).
Data Retention: We retain your personal data only as long as necessary for the purposes for which it was collected or as required by law.
Data Breaches: We will notify you and the relevant supervisory authority of any personal data breach where required by law.

8. Warranties and Disclaimers

Services are provided with reasonable skill and care.
We do not guarantee specific business outcomes (e.g., sales, traffic, or engagement levels).

9. Limitation of Liability

To the maximum extent permitted by law, Wingnit’s total liability shall not exceed the total fees paid by you for the specific project.

We are not liable for indirect, consequential, or punitive damages.

10. Termination

Either party may terminate a project for material breach. You remain responsible for payment for all work completed up to the date of termination.

11. Governing Law

These Terms shall be governed by the laws of the State of California, United States. For users in the EU, you may also have the right to bring proceedings in your country of residence.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated version with a new effective date.
